Terms of Service

Last updated 20 October 2026

These terms cover your use of this website and the general basis on which ProdClaw works. Every paid engagement is governed by a separate written development services agreement, which is signed before work begins and which prevails over these terms wherever the two differ.

1. Who we are

ProdClaw is the trading name of Markus Rommel, an independent software developer. In these terms, "we" and "us" mean ProdClaw; "you" means the person or company using this site or engaging our services. Contact: [email protected].

2. What we do

ProdClaw provides two services. A managed AI front desk for local businesses, and custom software development for founders and early-stage companies: product specification, software architecture, cloud infrastructure, application development, and ongoing maintenance. Services are offered in defined tiers published on this site.

Information on this site. Including tier descriptions, prices, and indicative timelines. Is a description of our services, not a binding offer. A binding commitment arises only from a signed development services agreement.

3. How an engagement works

4. Pricing and payment

Prices shown on this site are current at the time of publication and may change. The price that applies to you is the one in your signed agreement. Quotes are valid for 60 days.

Build engagements are invoiced against milestones. Typically a deposit on signing, a payment at an agreed midpoint, and a final payment on acceptance. Blueprint engagements are payable in full on signing. Invoices are issued via Stripe.

Cloud and third-party costs are not included and are billed by those providers directly to you, on accounts you own.

5. The AI front desk service

The front desk is a monthly managed service rather than a one-off project. The terms that matter:

The service answers calls and books work according to rules you set. It is not a substitute for professional judgement, and it does not make commitments you have not authorised. Where it does not know an answer, it takes a message rather than guessing.

6. Scope and changes

The specification defines what is included and contains an explicit out-of-scope list. Work outside that scope is handled through a written change order with its own price and timeline, agreed before the work is done. We do not perform unapproved work, and we do not invoice for work you have not approved.

7. Ownership of work

You own what we build for you. On receipt of final payment, all rights in the software, configuration, and documentation created for you under the agreement are assigned to you outright.

We retain ownership of our reusable tooling. Infrastructure modules, pipeline automation, templates, and methodology developed independently or across engagements. Where that tooling is embedded in what we deliver, you receive a perpetual, irrevocable, royalty-free licence to keep using and modifying it as part of your product, including through your own staff and contractors. That licence cannot be withdrawn and does not depend on any ongoing relationship with us.

Infrastructure is provisioned into cloud accounts you own and control. We claim no interest in them and remove our access on request.

8. Your responsibilities

Delays on your side extend delivery timelines by the period of the delay.

9. Warranty and support

We warrant that deliverables will materially conform to the specification for 30 days after acceptance (Launch tier) or 60 days (Production tier), and will correct non-conformities at no charge during that period. That is your sole remedy for defects.

The warranty does not cover changes made by you or third parties after handover, failures of third-party services outside our control, or anything outside the specification. Beyond this warranty, deliverables are provided without warranties of any kind, express or implied.

10. What we do not provide

11. Limitation of liability

To the fullest extent permitted by law, our total aggregate liability arising out of an engagement is limited to the fees you actually paid for it. Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data.

Nothing in these terms limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot lawfully be limited.

12. Confidentiality

We keep your non-public information confidential and use it only to perform the work. This includes credentials, source code, business plans, and customer data. The obligation survives the end of the engagement. See our Privacy Policy for how personal data is handled.

13. Use of this website

Content on this site is provided for information only. You may not copy or republish it without permission. Downloadable documents are for your own evaluation. We make no representation that this site will be uninterrupted or error-free.

14. Changes to these terms

We may update these terms from time to time; the current version is always the one published here, with the date shown above. Changes do not affect the terms of an agreement already signed.

15. Governing law

These terms are governed by the laws of the United States and the state in which ProdClaw operates. The governing law for a specific engagement is set out in its agreement.
